Terms of Use.

These Terms of Use ("Terms") govern your access to and use of the VAYU smart glasses, companion applications, website at vayuglasses.in, and all related products and services (collectively, the "Services") provided by Praesidio Care Private Limited ("VAYU," "we," "us," or "our"), a company incorporated under the Companies Act, 2013 with its registered office in Bengaluru, Karnataka, India. VAYU is backed by Praesidio Care Private Limited.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement, have the legal capacity to enter into these Terms under Indian law, and that all registration information you submit is truthful and accurate.

Use of the Services

Permitted use

You may use the Services for lawful purposes only, in accordance with these Terms and all applicable Indian laws and regulations, including the Information Technology Act, 2000. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Prohibited conduct

• Using the Services to violate any applicable law or regulation, including but not limited to the Indian Penal Code / Bharatiya Nyaya Sanhita, the Information Technology Act, 2000, and the Consumer Protection Act, 2019
• Recording or photographing individuals without their consent in violation of applicable privacy laws, including the right to privacy under Article 21 of the Constitution of India
• Using the device in restricted areas where recording devices are prohibited (courtrooms during proceedings unless authorised, examination halls, restricted government premises, defence installations, etc.)
• Reverse-engineering, decompiling, disassembling, or attempting to derive the source code of any part of the device software or firmware
• Attempting to bypass, circumvent, or disable any security, authentication, or digital rights management features
• Using the Services to harass, stalk, threaten, defame, or otherwise harm any person
• Reselling, sublicensing, or commercially redistributing the device or Services without our prior written consent
• Modifying or tampering with the hardware in ways that void the warranty, including rooting, jailbreaking, or installing unauthorised firmware
• Using the Services to transmit any malware, viruses, or harmful code
• Interfering with or disrupting the integrity or performance of the Services

Account Registration

To access certain features of the Services, you may need to create an account through the VAYU companion app. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for safeguarding your account credentials. You must notify us immediately at team@vayuglasses.in if you suspect any unauthorised use of your account.

Orders, Pricing & Payments

All prices are listed in Indian Rupees (INR) and are inclusive of applicable GST unless otherwise stated. We reserve the right to modify pricing at any time prior to order confirmation. Orders placed through the waitlist or pre-order system are subject to availability.

Payment is processed through RBI-compliant, PCI-DSS certified third-party payment gateways (such as Razorpay or Stripe). We accept credit cards, debit cards, UPI, net banking, and select wallet payments. By placing an order, you authorise us to charge the applicable amount to your selected payment method. All payments are subject to verification and validation checks.

Prices include GST at the applicable rate. A GST-compliant tax invoice will be issued for every transaction.

Shipping & Delivery

We ship within India through authorised logistics partners (including Delhivery, Blue Dart, and India Post). Estimated delivery timelines will be communicated at the time of order confirmation. Delivery timelines are estimates only and are not guaranteed. Risk of loss and title for products passes to you upon delivery to the shipping carrier.

International shipping may be available for select markets. International orders may be subject to customs duties, import taxes, and other fees levied by the destination country, which are the responsibility of the buyer.

Refund Policy

We offer a 7-day return policy, which means you have 7 days after receiving your item to request a return for any reason.

Eligibility for return

To be eligible for a return, your item must be in the same condition that you received it, unworn or unused, with tags, and in its original packaging. You will also need the receipt or proof of purchase.

How to initiate a return

To start a return, contact us at team@vayuglasses.in. Please note that returns will need to be sent to our designated facility:

If your return is accepted, we will send you a return shipping label and instructions on how and where to send your package. Items sent back to us without first requesting a return will not be accepted.

Refund processing

Once we receive and inspect your return, we will notify you whether the refund has been approved. If approved, the refund will be processed to your original payment method within 5–10 business days. Your bank or payment provider may take additional time to reflect the refund in your account.

Damages and defects

If you receive a defective or damaged item, please contact us immediately at team@vayuglasses.in with photographs of the damage. We will evaluate the issue and arrange for a replacement or refund.

Non-returnable items

• Custom prescription lenses (manufactured to your specification) cannot be returned unless defective
• Items that have been used, damaged by the buyer, or are missing original packaging
• Gift cards and downloadable software/firmware

Warranty Policy

Coverage

• 12-month limited warranty on VAYU device and charging kit from the date of delivery
• Manufacturing defects and functional failures under normal use
• Firmware and software updates provided during the warranty term

Exclusions

• Accidental damage, liquid damage, cosmetic wear, or misuse
• Third-party repairs, unauthorised modifications, or rooting/jailbreaking
• Consumable parts (nose pads, frame tips) beyond manufacturing defects
• Damage caused by use of non-approved accessories or chargers
• Normal wear and tear

How to claim warranty

1. Write to team@vayuglasses.in with your order ID and a description of the issue.
2. Our team will run remote diagnostics and arrange pickup if required.
3. Repair or replacement will be provided per assessment. If the same model is not available, a comparable replacement will be offered.
4. Warranty repairs will be completed within 15 business days of receiving the device.

Intellectual Property

All content, trademarks, service marks, logos, trade names, software, firmware, hardware designs, and other intellectual property associated with the Services are owned by or exclusively licensed to Praesidio Care Private Limited. The VAYU name, logo, and all related marks are trademarks of Praesidio Care Private Limited registered or pending registration in India.

You may not copy, reproduce, modify, distribute, display, transmit, or create derivative works based on our intellectual property without our prior written consent. Unauthorised use may violate the Trade Marks Act, 1999, the Copyright Act, 1957, and other applicable Indian laws.

User-Generated Content

If you submit reviews, feedback, suggestions, or other content to us ("User Content"), you grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, and display such User Content in connection with the Services. You represent that you own or have the rights to submit such content and that it does not violate the rights of any third party.

Limitation of Liability

To the maximum extent permitted by applicable Indian law, VAYU shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of profits, loss of data, personal injury, or property damage.

Our total aggregate liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us for the specific product or service giving rise to the claim in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable Indian law.

Indemnification

You agree to indemnify, defend, and hold harmless Praesidio Care Private Limited, Praesidio Care Private Limited, and their respective directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Dispute Resolution & Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days.

If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996, as amended. The seat of arbitration shall be Bengaluru, Karnataka, India. The language of arbitration shall be English. The arbitral tribunal shall consist of a sole arbitrator mutually appointed by the parties.

Subject to the arbitration clause above, the courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction over any proceedings relating to these Terms.

Consumer Protection

Nothing in these Terms shall affect your rights as a consumer under the Consumer Protection Act, 2019, or the Consumer Protection (E-Commerce) Rules, 2020. In the event of any conflict between these Terms and applicable consumer protection legislation, the provisions of such legislation shall prevail.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address or by prominent notice on our website at least 15 days before they take effect. Your continued use of the Services after modifications constitutes acceptance of the updated Terms. If you do not agree with the modified Terms, you must stop using the Services.

Severability & Waiver

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
